Proposed Changes to Chapter Bylaws

Dear Members: 

PMI has also introduced a new membership model that is being rolled out globally and will be fully enacted in the United States in 2025This new model requires that any PMI member must also be a Chapter memberElements of the new model are already in effectPMI members that do not belong to a chapter will automatically be assigned the chapter covering their primary address in their PMI profile when they renew their membership.  Members do have the choice of selecting another chapter instead of the assigned chapter if they desire, for example, a member living near the Maine or Massachusetts border with New Hampshire can change the selection to the New Hampshire Chapter. The current New Hampshire Chapter fee is $25 and will remain unchanged.   In the future, the chapter fee will not be a separate line item, it will be included in the PMI membership fee.  We do not know at this time what the new PMI Membership fee will be when this model is fully enacted. 

This new membership model will require every chapter to make minor mandated changes to their Bylaws as well.  

The New Hampshire Chapter Bylaws call for a 9-member board of Directors.   Recently, we have been able to fill the board with interim appointments to complete the vacancies.  Recognizing the difficulty we have had in filling all the roles, the board, with advice from PMI and other chapters facing the same issue, have been discussing how to change our current board setup to be more effective.  This will require a change to the Bylaws which will require a vote by the membership.   The proposed bylaws include the changes required by the new membership model. 

We are recommending that we adopt a new model for the Board of Directors. The proposed changes are:

Board Service and Election Dates
  • Current:
    • Elections are held in early June each year.
    • The Board serves from July 1 to June 30th.   Our fiscal and budget year is January to December 31st.
  • Proposed:
    • The Board will serve from January 1 to December 31 to correspond with the fiscal and budget year.
      • Existing members will extend their term for 6 months for the transition
    • Election will be held in early September
      • New board members will begin shadowing the current board member in October and participate in the annual planning and budget process that is done in the 4th quarter so they are actively involved in the plan that will execute
Term and Term Limits
  • Current:
    • President, President-Elect, and Past President are 1-year terms
      • We vote for the President-Elect who assumes the President role, this is a 3-year commitment
      • They serve only 1 term
    • All other positions are 2-year terms
      • Term limit is 2 consecutive terms
  • Proposed:
    • All positions will be a 2-year term
    • Term limit is 3 consecutive terms in the same position
      • The President could serve multiple terms
    • Board membership is limited to 10 consecutive years
      • Note - we will retain the provision if no one runs for a position, the current holder can continue to serve until a replacement is found, even if term limited
Board Composition (*are roles required by PMI and the State of New Hampshire)
  • Current:
    • 9 Positions
      • President*
      • VP Finance*
      • VP Communications*
      • President-Elect
      • Past President
      • VP Governance
      • VP Membership
      • VP Volunteers
      • VP Marketing
  • Proposed:
    • Minimum of 4 to a maximum of 9 Positions
      • President*
      • VP Finance*
      • VP Administration*
        • Combines the VP Communications and VP Governance roles
      • Executive Vice President
        • Replaces the President-Elect role, assumes President role if they cannot fulfill the office, or no candidate is found
      • Director at Large (up to 5)
        • All are full voting positions
        • This is a flexible arrangement where we can adjust the role based on the number of hours someone can dedicate.   We expect a minimum commitment of 8 hours per month for these positions.
        • A Director at Large could:
          • Do a full VP role - Membership, Volunteers, or Marketing
          • Take on parts of the role that are crucial for the strategic plan
          • Manage initiatives/project determined by the board to meet the needs of the membership or the strategic plan

Finance Update

Greetings,

As we approach the end of 2023, and look forward, with great optimism, to a year of growth and new opportunities in 2024, we are reminded that we still have a lot of ground to cover before reaching the finish-line; however, it’s important that we take a few moments to look back at just how much we’ve already done this year, and to celebrate one another and our accomplishments along the way. I’d like to thank, and congratulate, all our chapter members, speakers & presenters, supporters, and my fellow officers, for showing up to our virtual and in-person events and meetings, and freely giving countless hours, all in support of PMI-NH’s mission. Our chapter is fortunate to have so many wonderful members and volunteers!

As the chapter’s finance officer, I’ve been busy working with the board to (1) review and analyze FY23 financial performance, (2) prepare initial FY24 budgets that are aligned to our FY24 strategic priorities (your board met for many hours on beautiful October weekends to complete strategic planning and charter renewal activities!), and (3) guide the board toward finalizing and approving FY24 budgets that serve as financial baselines for the next fiscal year. Once baselined, annual budgets are used in a variety of ways to measure and report on the organization’s financial health.

Throughout the rest of the year, when I’m not actively working with the board to build the next fiscal year’s budget, I’m busy managing the chapter’s bank and investment accounts, processing all payables/receivables, and reconciling transactions. This financial performance data is stored and managed in QuickBooks, which is leveraged to provide detailed, monthly financial reporting to the board, and which we review at each monthly board meeting. I also help to review and establish contracts, secure and maintain liability insurance, onboard new executive board members from a banking/financial perspective, maintain our non-profit status with the IRS and the NH Secretary of State’s office, complete annual financial reporting and tax filings, and for good measure, manage our chapter’s post office box. I also remain a very active and engaged board member in all aspects of chapter operations.

We’ll have one final opportunity to get together for our last in-person meeting of 2023 on Wednesday, December 6th, at the Puritan Backroom in Manchester, NH, from 6:00 p.m. ET – 9:00 p.m. ET. We’re still ironing out the event details, so please keep an eye on your inbox for additional information. The December event is always a great time, and if you’re able to make it, please say hello and introduce yourself. I love speaking with and getting to know our current and prospective members. Non-members are always welcome at our events, so if you’d like to bring a friend or family member, or a colleague that may be interested in learning more about project management, please feel free to do so.

This is a great time of year to practice gratitude! I remain grateful for the opportunity to serve all of you, our chapter’s members, as well as my colleagues on the board, and look forward to continuing my service in the future.
